The Board of Ultima, at a meeting held on 17 December 2008, passed a resolution terminating the services of Mr. R M
Bearpark as a non-executive director of the Company. This termination follows a change of focus of the Company which is
concentrating its focus on the renewable energy sector through the distribution agreement with Silicon CPV plc as
recently announced and therefore the Board felt that Mr. Bearpark's expertise was no longer required on the Board.
